These are proposed terms for the Halyard mobile applications, browser extension, website and related services. This draft is not in effect and does not create an agreement by browsing, installing or using the product. The contracting entity, registered address and applicable legal framework remain to be confirmed.
Halyard is a product name. Operating legal entity: to be confirmed. Registered address: to be confirmed. References to a future operator in this draft do not assert that a company has been incorporated or appointed.
1. Self-custody
Halyard is designed for local custody and signing. You control the wallet password and recovery material. Optional cloud backup sends an encrypted backup to your Google Drive account; local signing does not mean that backup ciphertext never leaves the device.
- The service cannot recover your recovery phrase or reset your wallet password for you.
- The service cannot reverse a confirmed blockchain transfer or retrieve assets sent to a wrong address or network.
- Losing the required recovery material, passwords and usable backups can permanently remove access to your assets. Protect each of them.
Cloud recovery requires the backup password and each original wallet password. Uninstalling the app does not necessarily delete a cloud backup. The planned service does not take custody of your assets.
2. Eligibility
The proposed eligibility rules require users to be at least 18, have legal capacity and comply with applicable law and regional restrictions. Age requirements, the contracting entity and the enforceability of these rules require legal review before adoption.
3. Restricted persons
The United States and mainland China are outside the planned target markets. Other geographic and person-based restrictions remain under review. The draft regional policy is not a declaration that every listed place is subject to the same legal prohibition.
Review the proposed scope and unresolved regional decisions in Restricted Regions. A community risk report is not a sanctions designation.
Any future refusal or suspension of hosted service access must follow an adopted policy and applicable law. This draft does not establish a right to freeze self-custodied assets.
4. Permitted use
Proposed use restrictions, subject to legal review, cover the following conduct:
- Unlawful activity, including fraud, money laundering, terrorist financing and transactions prohibited by applicable sanctions.
- Infringing another person's intellectual property rights.
- Disrupting the software or services, or reverse-engineering beyond restrictions permitted by mandatory law.
- Impersonating a person or misrepresenting an affiliation.
5. Third-party services
Wallet functions can use RPC and indexing providers, swap and bridge aggregators, dApps and connection protocols, and Google Drive for optional backup. The information sent depends on the requested function. Trust Wallet Core is a local software dependency, not itself a remote data recipient merely because it is used for signing.
Third parties may apply their own terms, privacy practices and availability limits. A proposed allocation of responsibility for those services requires legal review and cannot remove mandatory user rights.
6. No investment advice
Token displays, prices, quotes and risk warnings are informational. They are not investment, tax, legal or accounting advice, an offer, or a recommendation to transact. Assess a transaction and seek qualified advice where needed.
7. Risks
Digital assets and blockchain services involve significant risks. Read the Risk Disclosure. Reading this draft does not create an effective contractual acknowledgement.
8. Fees
The current product plan specifies a 0.5% swap referral fee and a 0.15% bridge referral fee. Whether a fee is enabled depends on the provider, route and configuration. These planned rates do not mean that the product is publicly released or that every transaction incurs a Halyard fee.
The transaction review must disclose the applicable fee before authorization. Network fees and other provider or route costs are separate; they may be charged through the network or third-party services. Check the total and the individual fees before signing.
The final fee policy, any change-notice process and legal terms remain subject to approval. This draft does not promise permanent free use or an effective fee-change mechanism.
9. Intellectual property
The proposed software licence is personal, non-exclusive, non-transferable and revocable for personal, non-commercial use, subject to applicable open-source licences and mandatory law. Ownership of Halyard branding and materials, the licensor's identity and the scope of this proposed licence remain to be confirmed.
10. Disclaimer of warranties
A proposed 'as is' and 'as available' provision would address availability, errors, fitness for purpose, merchantability and non-infringement. Its final wording and legal limits require review. This draft neither guarantees uninterrupted or secure service nor excludes rights that cannot lawfully be excluded.
11. Limitation of liability
The earlier proposal would limit liability for indirect, incidental, consequential, exemplary or punitive loss, including lost profits, data, goodwill or digital-asset value, and set an aggregate liability cap of US$100. This is an unadopted proposal, not an effective limit. The amount, scope, exceptions and mandatory consumer protections require legal review.
12. Indemnification
The earlier, unadopted proposal would require a user to indemnify, defend and hold harmless the future operator: to cover or reimburse covered losses, undertake or fund the defense of covered claims, and protect the operator against covered liability. It would address claims, demands, liabilities, damages and costs, including reasonable attorneys' fees, arising from the following four grounds:
- The user's use of Halyard, not limited to unlawful use.
- The user's violation of the final adopted terms.
- The user's violation of applicable law.
- The user's infringement of a third-party right.
This describes the original proposal for review; it is not adopted or in effect and imposes no indemnity, defense or hold-harmless obligation through this draft. Both parties' identities, the scope, procedures, exceptions and legal applicability remain to be confirmed and reviewed by qualified counsel. Mandatory law and consumer rights must be preserved.
13. Dispute resolution and governing law
The earlier governing-law proposal was British Virgin Islands law. It remains unadopted and subject to confirmation of the operator, relevant markets and mandatory local protections. It is not a statement that the operator is incorporated in the BVI.
The proposed arbitration option was administration by the BVI International Arbitration Centre, a seat in Tortola, English-language proceedings, and allocation of costs by the tribunal. This draft does not establish binding arbitration. The institution, rules, seat, cost allocation and enforceability require professional review.
A proposed individual-claims and class-action waiver also remains unadopted. Whether any such waiver or limit on consolidation is permissible must be reviewed in each applicable jurisdiction.
14. Termination
You can stop using the software. Uninstalling does not erase public blockchain records or necessarily delete your Drive backups. Proposed suspension or termination of hosted services would be subject to an adopted policy and applicable law; it is separate from control of self-custodied assets.
15. Modifications
This draft may be revised during review. The draft revision date records editorial changes, not an effective date. Notice, acceptance and effective-date rules for future terms remain to be determined; continued use does not make this draft effective.
16. Miscellaneous
The earlier, unadopted entire-agreement proposal would make the final adopted terms the complete agreement between the user and the confirmed operator concerning the relevant use of Halyard. This draft is not that agreement.
Under the proposed non-waiver provision, a failure to enforce a provision would not itself waive the right to enforce it. This is a proposed legal effect for review, not an effective waiver rule imposed by this draft.
The proposed severability provision would keep the remaining provisions in effect if a provision were held unenforceable, subject to applicable law. No provision becomes effective merely because it appears in this draft.
The proposed assignment terms would require the user to obtain the operator's prior written consent before assigning the final agreement. They would allow the confirmed operator to assign it to an affiliate or in connection with a merger, acquisition or sale of assets. These proposed permissions and restrictions have not been adopted; this draft itself authorizes no assignment.
The contracting parties, the scope and exceptions of these proposals, and their applicability require confirmation and qualified legal review. All five proposed effects remain unadopted and not in force; mandatory law and consumer rights must be preserved.
17. Contact
Legal contact, operating legal entity and registered mailing address: to be confirmed. No verified legal submission channel is available on this draft page. Do not send recovery phrases, private keys or wallet passwords to anyone claiming to handle legal or support requests.
